Code of by-laws of Putnam County Friend of Youth Foundation, Inc.

ARTICLE I :Name


Section A. This Organization shall be known as "Putnam Friend of Youth Foundation, Inc".


ARTICLE II: Purpose


Section A. The purposes for which the Organization is formed are as follows:

  1. To provide the physical, mental, spiritual and moral well being of the youth of Putnam County, (a) by providing supervision and support of approved organizations of and for young people; (b) by establishing new means, methods, groups and agencies for training, entertaining and guiding young people, and that the youth of Putnam County be developed into good men and women and good citizens.

  2. To receive by gift, devise, bequest or otherwise, securities, money or property, to be used, either the principal and/or the income there from, for the furtherance of any of the above mentioned purposes.

  3. To raise funds from time to time for such purposes.

  4. To guarantee to donors the business-like investment, care and expenditure of all such property and funds.


ARTICLE III: Membership


Section A. Any person, regardless of sex, age, race, national origin, disability, or economic condition, may be a member of the Organization upon payment of dues as determined by the Board of Directors.

Section B. All applications for membership in Putnam Friend of Youth Foundation, Inc shall be submitted to the secretary who shall present them for action to the Board of Directors of Putnam Friend of Youth Foundation, Inc, hereafter referred to as the "Board", at its next meeting. The Board shall have the power to approve or disapprove applications for membership, provided always that it acts in accordance with these by-laws and regulations of Putnam Friend of Youth Foundation, Inc. Any applicant aggrieved by a ruling of the Board in this respect shall have the right to appeal to the full membership at the next regular or special meeting, and such appeal shall be decided by a majority of the votes cast, as herein provided.

Section C. The Board shall have the power to suspend or expel any member

  1. Which may neglect or refuse to comply strictly and honorably with these by-laws.

  2. Which may, by its conduct, bring reproach or disgrace upon Putnam Friend of Youth Foundation, Inc .

  3. Which is more than two (2) months in arrears in paying annual dues.

Any member aggrieved by a ruling of the Board in this respect shall have the right of appeal to the full membership at the next regular or special meeting, and such appeal shall be decided by a majority of the votes cast, as herein provided.


ARTICLE IV: Dues and Voting Power

Section A. Annual dues of members shall be as prescribed by the Board of Directors of Putnam Friend of Youth Foundation, Inc.

Section B. Each member shall have one (1) vote on those items requiring votes of the membership.

Section C. Members must be in "Good Standing" in order to be a voting member, including but not limited to having dues paid in full.


ARTICLE V: Board of Directors

Section A. The affairs of Putnam Friend of Youth Foundation, Inc shall be conducted by a Board of Directors which shall consist of the Ten (10) Members holding office in accordance with Article VI.

Section B. The initial Board of Directors shall be

  1. Bob DiRocco 3 Year Term Expires January 2014

  2. John Scamahorn 3 Year Term Expires January 2014

  3. Rod Weinschenk 3 Year Term Expires January 2014

  4. Issac Case 2 Year Term Expires January 2013

  5. Bobby Hopper 2 Year Term Expires January 2013

  6. David Zeiner 2 Year Term Expires January 2013

  7. Katrina Asher 1 Year Term Expires January 2012

  8. Tim Duggan 1 Year Term Expires January 2012

  9. Tavia Pigg 1 Year Term Expires January 2012

Initially, the Board of Directors shall serve for the number of years set beside their name. Thereafter, each Board Member shall be elected for a term of three (3) years or until their successor is chosen and qualified. A Board Member shall be elected by Fifty (50%) percent of the organizations active membership. The voting for Board of Directors shall take place during the Annual Membership Meeting in January in each calendar year. In the event that a Board Member resigns, dies, or vacates his/her office, then a new Director shall be appointed by the remaining Board Members to complete the term of the vacating Board Member.

Section C. There shall be an Executive Committee of the Board, which shall consist of the four (4) Officers. It shall be empowered to act in the place of the Board whenever circumstances make it impossible to assemble a quorum of the Board; provided, however, that no meeting of the Executive Committee shall be called in lieu of calling a meeting of the Board.

Section D. Board of Directors may succeed themselves.

Section E. The Executive Committee of the Board shall be elected by the Board as a whole and shall serve for a one year period. Meetings of the Executive Committee shall be called by the president or a member of the Executive Committee at any time.

Section F. A quorum of the Board shall consist of Fifty (50%) Percent of active Board Members.

Section G. Meetings of the Board shall be held on call by the President, and the President must call a meeting when requested to do so in writing by three (3) members of the Board of Directors. There shall be seven (7) days notice of every meeting, unless notice is waived in writing by all members of the Board as applicable. A member need not be present at the meeting to waive notice thereof.

Section H. Board Members may be removed, for any reason, by an affirmative vote of Fifty (50%) percent of the Board of Directors, at any annual meeting or any special meeting called for such purpose and a successor may be elected at the same meeting to fill the unexpired term of any Board Member so removed.


ARTICLE VI: Officers

Section A. The Officers of Putnam Friend of Youth Foundation, Inc shall be as follows:

  1. President

  2. Vice President

  3. Secretary

  4. Treasurer

Section B. The initial Officers shall be

  1. President - Rod Weinschenk 1 Year - Expires Jan. 2012

  2. Vice President - John Scamahorn 1 Year - Expires Jan. 2012

  3. Secretary - Katrina Asher 1 Year - Expires Jan. 2012

  4. Treasurer - David Zeiner 1 Year - Expires Jan. 2012

Section C. The President shall call and preside at all meetings.

Section D. The Vice-President shall assist the president in his duties and shall in proper order, assume them in his absence.

Section E. The Secretary shall maintain accurate records of Membership, keep minutes and records of all proceedings, attend to correspondence, and issue notice of meetings of the Membership, Board of Directors and Executive Committee.

Section F. The Treasurer shall have custody of the funds of Putnam Friend of Youth Foundation, Inc and shall keep accurate records thereof.

Section G. The Officers shall be elected by the Board. They shall hold office for a term of one (1) year or until their successors are elected and qualified.

Section H. Should any office become vacant, the vacancy shall be filled by the Board at its next meeting and the person so appointed shall hold office until the next Annual Meeting or until his/her successor is elected and qualified. The Board shall conduct no business while any office is vacant except to fill the vacancy or vacancies.


ARTICLE VII: Meetings of Membership

Section A. The Annual Meeting of Putnam Friend of Youth Foundation, Inc shall be on a date fixed by the Board of Directors in January of each year starting in 2012.

Section B. The Secretary shall give notice of the Annual Meeting to all active members of Putnam Friend of Youth Foundation, Inc. Notices of such meetings shall be given seven (7) days prior to meeting. Notices of special meetings shall set forth in detail the agenda, and no subjects other than those on the agenda may be considered.

Section C. Special meetings may be called by the President, and must be called by him/her upon written request of ten (10) members of Putnam Friend of Youth Foundation, Inc. Notice of such meetings shall be given seven (7) days prior to meeting. Notices of special meetings shall set forth in detail the agenda, and no subjects other than those on the agenda may be considered.

Section D. A quorum of the members shall consist of Fifty (50%) percent of the Board of Directors plus membership present at meeting in order for business to be conducted.


ARTICLE VIII: Miscellaneous

Section A. Parliamentary Authority: The current version of Roberts Rules of Order shall be used as a guide to conduct meetings of Putnam Friend of Youth Foundation, Inc unless they are clearly inapplicable or are not consistent with these By-Laws.

Section B. Fiscal Year: The fiscal year of Putnam Friend of Youth Foundation, Inc shall be the calendar year.

Section C. Execution of Contracts and Other Documents: All contracts and other documents requiring execution by the Putnam Friend of Youth Foundation, Inc , must be signed by at least two (2) Officers of the Board of Directors. Putnam Friend of Youth Foundation, Inc checks require the signature of the President and Treasurer. All expenditures must be approved by the Board of Directors. In circumstances, where an expenditure must be made prior to the next Board meeting, an expenditure may be made upon Fifty(50%) percent approval of the Executive Committee.

Section D. Financial Accounts: The authority to establish accounts with financial institutions and to withdraw there from or issue checks thereon shall be established by the Board of Directors.

Section E. Compensation: No officer or member of the Board of Directors of Putnam Friend of Youth Foundation, Inc shall receive compensation for the performance of duties arising from such position. Board of Directors and members of Putnam Friend of Youth Foundation, Inc may be reimbursed for reasonable, approved expenses incurred by them in the performance of such duties.


ARTICLE IX: Amendments

Section A. Amendments to these by-laws may be made at any regular or special meeting by a two thirds (2/3) approval of the membership present at two (2) consecutive meetings, with at least a thirty (30) day notice.


ARTICLE X: Dues

Section A. The Board shall assess each member an annual dues payment for membership. In the event a member fails to pay his/her dues, such member shall not be entitled to any privileges due members or to vote on any matter, until dues are paid in full.


ARTICLE XI: Dissolution

Upon the dissolution of Putnam Friend of Youth Foundation, Inc, assets shall be distributed for one or more exempt purposes within the meaning of section 504(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not disposed of shall be disposed of by the Court of common Pleas of the county in which the principal office of the Putnam Friend of Youth Foundation, Inc is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes. The real property owned by the corporation as of February 23, 2011 shall be distributed pursuant to its own terms and Indiana law.
